Terms & Conditions
Last updated: 15 October 2026
These terms govern inquiries and manufacturing orders handled by Wuhan China-Polo Garment Co., Ltd. (“China-Polo”, “the factory”, “we”). The signed proforma invoice (PI) or sales contract for each order contains the binding commercial terms; where the PI specifies otherwise, the PI prevails.
1. Service scope
We provide custom apparel manufacturing services — OEM, ODM, private label and wholesale polo shirt production — including sampling, cutting, decoration, sewing, finishing, inspection coordination and export packing. We manufacture lawful apparel products only.
Prohibited goods: we do not produce counterfeit products, garments reproducing third-party trademarks or logos without authorization, or goods infringing intellectual property rights.
2. Quotations
Quotations are based on the specification provided (fabric, composition, GSM, colors, quantities, decoration, trims and packaging). Prices are valid for the period stated on the quotation, commonly 30 days. Material or specification changes after confirmation may require repricing; raw-material movements beyond the validity period may also require updated pricing.
3. Samples and development
Sample fees, courier charges and included revision rounds are stated in the quotation before sampling begins and are not assumed to be free. Sample production times are indicative and exclude courier transit. When agreed in writing, sample fees may be deducted from the first bulk order. Approved pre-production (PP) samples define workmanship, fit and decoration standards for bulk.
4. Orders and payment
An order is confirmed on countersignature of the PI and receipt of the deposit stated on it; production scheduling begins at that point. The balance is payable after final inspection and before shipment, or per the payment schedule written in the PI. Bank details are verified in writing; buyers should independently reconfirm bank details before transfer.
5. Buyer-supplied materials and IP
The buyer warrants that all artwork, logos, labels, designs, tech packs and reference samples supplied are owned by, or properly licensed to, the buyer, and that manufacturing them does not infringe third-party rights. The buyer indemnifies the factory against third-party IP claims arising from buyer-supplied materials. Factory-developed blocks and production know-how remain the factory’s confidential assets; buyer-specific developments are not reused for other customers.
6. Production tolerances
Apparel production is subject to industry-standard tolerances in finished measurements, knit fabric weight (typically within accepted GSM tolerance), shade variation between dye lots and quantity over/under shipment within the percentage stated on the PI. Shade-sensitive orders require approved bulk-fabric sign-off, which can be arranged.
7. Quality and claims
Goods are inspected against the approved PP sample and the agreed AQL standard. Visible defects and quantity discrepancies must be reported within 15 days of cargo receipt with photographs and carton references. Claims for goods altered, reprocessed or resold after receipt cannot be accepted. Our liability is limited to repair, replacement or credit of the affected goods as set out in the sales contract; consequential loss is excluded to the extent permitted by law.
8. Shipping and risk
Trade terms (FOB, CIF, EXW or DDP-style arrangements) are stated per order on the PI. Risk and insurance responsibility transfer according to the agreed Incoterms. Delivery dates are estimates from deposit and PP-sample approval; delays caused by late approvals, buyer-supplied materials, customs or force majeure are not the factory’s responsibility.
9. Force majeure
Neither party is liable for failure caused by events beyond reasonable control, including natural disasters, epidemic controls, major utility failures, export restrictions or supply-chain collapse; affected schedules are renegotiated in good faith.
10. Confidentiality
Pricing, designs, technical files and order information exchanged by the parties are treated as confidential and are not disclosed to third parties except as needed to perform the order (mills, trims suppliers, inspection companies, forwarders) or as required by law.
11. Governing terms
Governing law and dispute resolution are set in the PI or sales contract for each order. Contract interpretation prioritizes the signed PI, then these terms.
